Vuluru One Terms of Service
Version 3. Last updated: October 16, 2026.
1. Definitions
The following terms have specific meanings throughout this agreement:
- "Service" means the Vuluru One cloud-based business management platform, including all features, APIs, documentation, and updates made available by Vuluru, Inc.
- "Customer" (also "you") means the individual or organization that registers for or accesses the Service.
- "Authorized User" means any individual whom the Customer permits to access the Service under the Customer's account.
- "Customer Data" means all data, files, and content that the Customer or its Authorized Users upload, enter, or transmit through the Service.
- "Confidential Information" means non-public information disclosed by either party that is designated as confidential or that a reasonable person would understand to be confidential, including Customer Data, business plans, pricing, and technical specifications.
- "Documentation" means the user guides, help articles, API references, and other instructional materials we make available for the Service.
- "Feedback" means suggestions, ideas, enhancement requests, or other feedback about the Service provided by the Customer or its Authorized Users.
- "Beta Services" means any features, modules, or services labeled as "beta," "preview," "early access," or similar designations.
2. Acceptance of Terms
By accessing or using Vuluru One ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms, and "you" and "Customer" refer to that organization. These terms, together with any order forms or subscription agreements, constitute the entire agreement between you and Vuluru, Inc. regarding the Service and supersede all prior or contemporaneous communications, whether written or oral.
3. Description of Service
Vuluru One is a cloud-based service for keeping a business's books. It includes the general ledger and journal entries, customers and invoices, vendors and bills, bank lines from a connected bank or an imported transactions file, reconciliation, reports, the monthly close, and Super Intelligence (SI): features that use AI models to propose entries, answers and explanations for a person to review. A person approves anything that goes into the books. We continuously improve the Service and may add, modify, or remove features over time. We will provide reasonable notice before removing material functionality.
4. License Grant
Subject to your compliance with these terms, Vuluru, Inc. grants you a non-exclusive, non-transferable, worldwide right to access and use the Service during your subscription term, solely for your internal business operations. You may not sublicense, resell, timeshare, or use the Service as a service bureau for the benefit of third parties without our prior written consent.
5. Accounts & Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account or by your Authorized Users. Account administrators may delegate access to Authorized Users, and the Customer remains responsible for each Authorized User's compliance with these terms. You must notify us immediately at security@vuluru.com of any unauthorized access or suspected security breach. We reserve the right to suspend accounts that violate these terms, pose a security risk, or are used to compromise the integrity of the Service.
6. Billing & Payments
No fees today. Vuluru One is currently provided without charge. Fees apply only under an order form or subscription you agree to in writing. The rest of this section applies once one does.
Term. Paid plans are annual commitments. Your subscription term is one year from the date it begins.
Payment schedule. Within that annual term you may pay monthly or pay for the year upfront. Paying annually upfront costs less than paying monthly across the year. Choosing to pay monthly is a payment schedule, not a monthly term: it does not shorten the annual commitment or create a right to cancel at the end of a month. Fees are billed in advance and are quoted exclusive of taxes; you are responsible for applicable sales tax, VAT, or other transaction-based taxes in your jurisdiction.
Renewal. At the end of each annual term your subscription renews for a further year unless you tell us otherwise at least 30 days before the renewal date. We will send a renewal reminder at least 15 days before your subscription renews. To cancel, contact us at hello@vuluru.com and we will confirm in writing.
Failed payments and price changes. If payment fails, we will notify you and provide a 15-day grace period to update your payment method before suspending access to paid features. We may change pricing with 30 days' written notice, and price changes take effect at the start of your next term rather than mid-term.
Refunds. If you cancel before your annual term ends, you may request a pro-rata refund for the unused portion of any amount you have already paid; refund requests must be submitted within 30 days of cancellation.
7. Your Data
You retain all rights to the Customer Data you input into the Service. We do not claim ownership of your content. You grant Vuluru, Inc. a limited license to host, process, store, and display your Customer Data solely to provide, maintain, and improve the Service. We will not access your data except to: (a) provide support you request; (b) maintain and improve the Service; (c) comply with applicable law; or (d) prevent fraud or abuse.
We may generate aggregate, de-identified, and anonymized data derived from Customer Data that does not identify you or any individual ("Aggregate Data"). Vuluru, Inc. may use Aggregate Data for product improvement, benchmarking, and research purposes. We will not re-identify or de-anonymize Aggregate Data.
The company's Owner may export the company's complete books at any time, as CSV and JSON files with a manifest, from within the Service. For how we handle personal data, see our Privacy Policy and the Data processing section below.
Super Intelligence (SI) providers. By default (Local), SI sends your content to no outside model provider. If your company's Owner chooses an outside model provider, the Owner first accepts that provider's SI data addendum, which lists exactly what each feature sends. That content is then sent to the provider under your company's own account and the provider's terms. We don't use your Customer Data to train AI models.
In-Product Representations. Certain features of the Service ask you or an Authorized User to confirm, attest to, or otherwise represent the accuracy of Customer Data — for example, confirming opening account balances when migrating from another system. Any such confirmation is a representation made by the individual completing it, on behalf of the Customer, using that individual's own account credentials; it is not made by Vuluru, Inc. We retain a record of each such confirmation, including the individual who made it, the date, and the specific information confirmed, as part of Customer Data. These in-product confirmations are provided for your own recordkeeping and workflow purposes only and do not constitute, and are not a substitute for, accounting, tax, or legal advice or review by a qualified professional.
8. Intellectual Property
The Service, including its software, design, documentation, trademarks, and all underlying technology, is owned by Vuluru, Inc. and protected by intellectual property laws. These terms do not grant you any rights to Vuluru, Inc.'s trademarks, logos, or branding. You may not copy, modify, distribute, or reverse engineer any part of the Service except as expressly permitted by these terms or applicable law.
If you provide Feedback, you grant Vuluru, Inc. a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize that Feedback without obligation or compensation. You are not required to provide Feedback, and any Feedback you provide is voluntary.
9. Acceptable Use
You agree not to, and will not permit any Authorized User to:
- Violate any applicable law, regulation, or third-party right
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Transmit malicious code, viruses, or any material that interferes with the Service
- Access or attempt to access another customer's data or account
- Resell, sublicense, or redistribute access to the Service without written consent
- Use the Service for competitive analysis, benchmarking, or to build a competing product without prior written consent
- Circumvent or disable any security, authentication, or access control features
- Use automated means (bots, scrapers, crawlers) to access the Service beyond approved API usage
- Exceed published rate limits or use the Service in a manner that degrades performance for other customers
- Store data subject to regulatory requirements that the Service does not explicitly support, such as HIPAA-protected health data or PCI cardholder data
We reserve the right to investigate and take appropriate action, including suspension or termination, for violations of this section.
10. Service Levels
Vuluru, Inc. uses commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, excluding: (a) scheduled maintenance, for which we will provide at least 7 days' advance notice when practicable; and (b) circumstances beyond our reasonable control (see Section 18, Force Majeure).
For details on the security measures that protect your data, including encryption, data isolation, and access controls, see our Security page.
11. Beta & Early Access Services
From time to time, Vuluru, Inc. may offer Beta Services that are still under development. Beta Services are provided "as is" and "as available" without any warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Beta Services may contain bugs, may be changed at any time, and may be discontinued without notice.
No service level commitments apply to Beta Services. You use Beta Services at your own risk and should not rely on them for production workloads unless you accept that risk. Feedback you provide on Beta Services may be used by Vuluru, Inc. to improve the Service without restriction.
12. Third-Party Services
The Service may integrate with or contain links to third-party applications, services, or websites ("Third-Party Services"). Vuluru, Inc. does not control, endorse, or assume responsibility for any Third-Party Service. Your use of Third-Party Services is at your own risk and subject to the terms and privacy policies of those providers. If a Third-Party Service ceases to be available or changes its terms, Vuluru, Inc. is not liable for any resulting impact on the Service. This includes a bank you connect, Plaid if you connect a bank through it, and any outside SI provider your company's Owner turns on.
13. Confidentiality
Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose it to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those in this section. Each party shall protect the other's Confidential Information using the same degree of care it uses for its own confidential information, but in no event less than reasonable care.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (d) is rightfully received from a third party without restrictions.
If a party is compelled by law to disclose Confidential Information, it shall provide prompt written notice to the other party (to the extent legally permitted) and cooperate to seek a protective order. Confidentiality obligations survive termination of this agreement for as long as the information remains confidential.
13A. Data processing
When we process personal data in Customer Data for you, we act as your service provider (processor), and we:
(a) process it only to provide the Service and as you instruct through it; (b) keep it confidential and require the same of anyone who processes it for us; (c) use only the subprocessors listed in our Privacy Policy, and give you at least 14 days' notice before adding one, during which you may object or stop using the Service; (d) protect it with the security measures described on our Security page; (e) notify you without undue delay after we become aware of a breach affecting it; (f) help you respond to requests from individuals about their data; (g) let you export it at any time, and delete it when the retention periods in our Privacy Policy end.
We don't sell it, or use it for any purpose other than providing the Service.
14. Warranties & Disclaimers
Each party represents and warrants that: (a) it has the legal authority to enter into this agreement; (b) this agreement does not conflict with any other agreement to which it is bound; and (c) it will comply with all applicable laws in its performance under this agreement.
Vuluru, Inc. warrants that it will provide the Service using a commercially reasonable level of care and skill. If the Service fails to meet this warranty, your exclusive remedy is to notify us so that we may use commercially reasonable efforts to correct the issue.
EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." VULURU, INC. DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VULURU, INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
15. Indemnification
Vuluru, Inc. Indemnification. Vuluru, Inc. shall defend, indemnify, and hold you harmless from any third-party claim that your authorized use of the Service infringes a valid copyright, registered trademark, or issued patent. If such a claim arises, Vuluru, Inc. may, at its option: (a) procure the right for you to continue using the Service; (b) replace or modify the Service to be non-infringing; or (c) if neither option is commercially reasonable, terminate your subscription and refund any prepaid fees for the unused portion. Vuluru, Inc. has no obligation if the alleged infringement results from: your modification of the Service, your combination of the Service with non-Vuluru, Inc. products, or your use of the Service in violation of these terms.
Customer Indemnification. You shall defend, indemnify, and hold Vuluru, Inc. harmless from any third-party claim arising from: (a) your or your Authorized Users' use of the Service in violation of these terms; (b) the legality, accuracy, or completeness of Customer Data; or (c) your violation of applicable law.
Process. The indemnified party must promptly notify the indemnifying party in writing and provide reasonable cooperation. The indemnifying party shall have exclusive control of the defense and settlement, provided that no settlement may impose obligations on the indemnified party without its prior written consent.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED FIVE HUNDRED U.S. DOLLARS ($500.00).
The limitations in this section do not apply to: (a) either party's indemnification obligations under Section 15; (b) breaches of confidentiality obligations under Section 13; (c) either party's gross negligence or willful misconduct; or (d) your payment obligations under Section 6.
17. Termination
Either party may terminate this agreement for convenience by providing at least 30 days' written notice to the other party. Either party may terminate this agreement immediately if the other party materially breaches these terms and fails to cure the breach within 30 days of written notice specifying the nature of the breach.
Vuluru, Inc. may suspend your access to the Service immediately and without prior notice if: (a) your use poses a security risk to the Service or other customers; (b) your use could subject Vuluru, Inc. to legal liability; (c) your account is overdue for payment beyond the grace period in Section 6; or (d) we reasonably believe your account has been compromised. We will notify you promptly of any suspension and restore access once the issue is resolved.
Upon termination, your right to use the Service ceases. For 12 months after termination, your company's Owner may still sign in to view and export the company's books. After that, Customer Data is deleted, except where the law requires us to keep it. Copies in our backups expire within 91 days of deletion.
The following sections survive termination: Definitions (1), Your Data (7), Intellectual Property (8), Confidentiality (13), Warranties & Disclaimers (14), Indemnification (15), Limitation of Liability (16), Governing Law (19), and General Provisions (21).
18. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, utility or telecommunications failures, or cyberattacks. The affected party must provide notice as soon as practicable and use commercially reasonable efforts to mitigate the impact and resume performance.
If a force majeure event prevents performance for more than 30 consecutive days, either party may terminate this agreement upon written notice. If the Customer terminates under this section, Vuluru, Inc. will refund a pro-rata portion of any prepaid subscription fees for the remaining term.
19. Governing Law & Dispute Resolution
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to this agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Wilmington, Delaware. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
Notwithstanding the above: (a) either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims involving intellectual property rights or Confidential Information, without the obligation to post a bond; and (b) either party may bring claims in small claims court if the claim qualifies.
To the maximum extent permitted by law, you agree that any disputes will be resolved on an individual basis, and you waive any right to participate in a class action, collective action, or representative proceeding. If a court determines that this class action waiver is unenforceable, then this arbitration provision shall be void in its entirety.
20. Changes to These Terms
We may update these terms from time to time. We'll tell you about a material change at least 14 days before it takes effect, by email to the address on your account, and the new version will show its date on this page. Non-material changes (such as formatting or clarifications) may take effect when posted. If you don't agree with a material change, you may stop using the Service before it takes effect, and your company's Owner can export the company's books at any time. If you keep using the Service after a change takes effect, the updated terms apply to you. If fees apply and you stop because of a material change, you'll receive a pro-rata refund of any prepaid fees.
21. General Provisions
- Severability. If any provision of these terms is held to be invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
- No Waiver. A party's failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision. All waivers must be in writing and signed by the waiving party.
- Assignment. Neither party may assign this agreement without the other party's prior written consent, except that either party may assign this agreement without consent in connection with a merger, acquisition, or sale of substantially all of its assets, provided the assignee agrees to be bound by these terms. Any attempted assignment in violation of this section is void.
- Relationship of the Parties. The parties are independent contractors. Nothing in this agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
- Export Compliance. You agree to comply with all applicable U.S. and international export control laws and regulations. You represent that you are not located in, or a national of, any country subject to U.S. trade sanctions, and that you are not listed on any U.S. government restricted party list.
- Notices. Vuluru, Inc. may provide notices by email to the address associated with your account or through in-app notifications. You are responsible for keeping your contact information current. Legal notices to Vuluru, Inc. should be sent to hello@vuluru.com.
- Entire Agreement. These terms, together with any order forms, subscription agreements, the Privacy Policy, and any SI data addendum your company's Owner accepts, constitute the entire agreement between you and Vuluru, Inc. regarding the Service. They supersede all prior or contemporaneous communications, proposals, and agreements, whether written or oral. In the event of a conflict, the order of precedence is: (1) any signed order form or subscription agreement; (2) these Terms of Service; (3) the Privacy Policy and any SI data addendum.
